1. Acceptance of terms

By accessing or using the Spectrum Robotics, LLC ("Spectrum Robotics," "we," "our," or "us") website and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services.

2. Description of services

Spectrum Robotics provides robotic automation services, including consultation, site assessment, sales, installation, configuration, training and support for commercial and industrial operations. Spectrum Robotics is an authorized dealer and integration partner for Original Equipment Manufacturer (OEM) robotics brands. Spectrum Robotics does not manufacture the robots it sells.

3. No guarantee of results

Nothing on this website or in our marketing materials is a promise or guarantee of any result. Spectrum Robotics does not guarantee labor savings, cost reduction, uptime, payback period, return on investment, task volume, delivery dates or any other outcome. Figures shown on this website, including calculator outputs, case study numbers and OEM performance data, are estimates and illustrations based on third party reporting and industry averages. Actual results vary by facility, configuration, usage and operating conditions. Any commitments that apply to your purchase will be the ones written into your signed agreement with Spectrum Robotics.

4. Prices are starting points and are not offers

Prices shown on this website are starting points for planning only. They are not offers, quotes or binding commitments, and they may change at any time without notice. Prices marked "from" reflect a base configuration. Your actual price depends on the platform, configuration, accessories, site conditions, services and taxes that apply to your deployment. Financing figures shown anywhere on this website are estimates only. A binding price exists only in a written quote or order accepted by Spectrum Robotics.

5. Credit approval

Financing and lease options are offered through third party lenders and are pending credit approval. Submitting a financing application is not an approval. Rates, terms, down payment and availability are set by the lender and depend on your business credit profile. Spectrum Robotics does not decide credit applications and does not guarantee that financing will be approved on any terms.

6. Orders are subject to acceptance

Placing an order, submitting a form or making a payment does not create a contract until Spectrum Robotics accepts the order in writing. All orders are subject to:

• Acceptance by Spectrum Robotics
• Product and inventory availability from our OEM partners
• Credit approval where financing is selected
• Confirmation of pricing, taxes and any site specific work
• A site assessment where one is needed to confirm fit

Spectrum Robotics may refuse or cancel an order, including after a payment authorization, for reasons that include pricing errors, unavailability, suspected fraud or a site that is not suitable for the equipment. If we cancel an accepted order, we will refund amounts you have paid for the cancelled items. Delivery and deployment dates are estimates, not commitments.

7. OEM warranties govern the hardware

Robots and related hardware are manufactured by our OEM partners and are covered by the warranty of the manufacturer, not by Spectrum Robotics. The manufacturer warranty is the only warranty that applies to the hardware, and its terms, duration, exclusions and claim process govern. Spectrum Robotics will help you file and coordinate warranty claims with the manufacturer. Spectrum Robotics itself makes no warranty on hardware and disclaims all implied warranties on hardware to the extent permitted by law. Any service, support or service level commitments from Spectrum Robotics are only those stated in your signed services agreement.

8. Purchases and payments

• You agree to pay all fees, shipping charges and applicable taxes
• Payment must be made through approved payment methods
• Card and bank payments are processed by our third party payment processor
• Returns, restocking and cancellation terms are stated in your order documents
• Title and risk of loss pass as stated in your order documents

9. Use of services

You agree not to:

• Use our services for any illegal or unauthorized purpose
• Violate any law or regulation
• Infringe intellectual property rights
• Transmit malicious code or disrupt our services
• Attempt to gain unauthorized access to our systems
• Impersonate any person or entity

10. Intellectual property and third party trademarks

The content on this website, including text, graphics, logos, images, page design and software, belongs to Spectrum Robotics or its content suppliers and is protected by intellectual property law. You may not copy, reproduce or distribute it without our written permission.

Robot model names, product names, brand names, logos and trademarks that appear on this website belong to their respective owners. They are used only to identify the products Spectrum Robotics sells and services. Their use does not imply endorsement by, sponsorship by, or affiliation with those owners beyond the dealer and integration relationships Spectrum Robotics actually holds.

11. Testimonials, case studies and third party data

Client quotes, case studies, deployment examples and performance figures on this website describe individual experiences or data reported by our OEM partners and third party sources. They are shown to illustrate what a platform can do. They are not typical results, they are not verified for your operation, and they are not a promise or guarantee of the results you will get. Client names may be withheld at the client request.

12. Disclaimer of warranties

OUR WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON INFRINGEMENT. We do not warrant that the website will be uninterrupted, secure or error free, or that the information on it is complete or current.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Spectrum Robotics is not liable for indirect, incidental, special, consequential, exemplary or punitive damages
• Spectrum Robotics is not liable for lost profits, lost revenue, lost savings, lost data, business interruption or the cost of substitute services
• The total liability of Spectrum Robotics for any claim is limited to the amount you paid to Spectrum Robotics for the specific product or service that gave rise to the claim
• These limits apply even if a remedy fails of its essential purpose
• Some states do not allow certain limits, so parts of this section may not apply to you

14. Indemnification

You agree to indemnify, defend and hold harmless Spectrum Robotics, its officers, directors, employees and agents from any claim, damage, loss, liability, cost or expense, including reasonable legal fees, arising out of your use of our website, products or services, your violation of these Terms, your violation of any law, or your operation of the equipment in a way that is not consistent with the manufacturer instructions and the training we provide.

15. Eligibility and accounts

You must be at least 18 years old and have authority to enter into these Terms on behalf of your business. If you create an account, you agree to provide accurate information, keep your credentials confidential, and tell us promptly about any unauthorized use. You are responsible for activity under your account.

16. Governing law and disputes

These Terms are governed by the laws of the State of Illinois, without regard to conflict of law rules. Any dispute arising from these Terms or from your use of our website, products or services will be resolved by binding arbitration seated in Illinois, or in the state or federal courts located in Cook County or DuPage County, Illinois where arbitration does not apply. You and Spectrum Robotics each waive the right to bring claims as a class action, to the extent permitted by law.

17. Changes to these terms

Spectrum Robotics may update these Terms at any time. The current version is always posted on this page with the date it was last updated. Changes apply to use of the website and to orders placed after the update. If you keep using the website after we post a change, you accept the updated Terms. Signed agreements already in place are governed by their own terms.

18. Severability

If any provision of these Terms is found unenforceable, it will be limited or removed to the smallest extent needed, and the rest of these Terms stay in full effect.
